Citivus Terms of Service

1. Acceptance of Terms

By accessing or using Citivus ("Company", "we", "us", "our") services (the "Service"), including any websites, applications, or platforms provided by us, you ("user", "you", including individuals and business entities) agree to be bound by these Terms of Service. If you do not agree, you must not use the Service.

2. Eligibility

The Service is intended for users who are at least eighteen (18) years of age, or the age of majority in their jurisdiction, and for business clients such as companies, organizations, and independent professionals. By using the Service, you represent and warrant that you meet these eligibility requirements.

3. Account Registration and Security

You must provide accurate and complete information when creating your account, maintain the confidentiality of your credentials, and are fully responsible for all activities conducted under your account. You agree to notify us immediately of any unauthorized access or breach of security involving your account.

4. Scope and Use of Service

Subject to these Terms, Citivus grants you a limited, non-exclusive, non-transferable right to access and use the Service for your internal purposes.

You shall not use the Service for any illegal, unauthorized, or fraudulent purpose; attempt to reverse-engineer, decompile, or exploit the Service; or violate any intellectual property or privacy rights of others.

5. Subscription, Billing, and Payment

Service access may require a subscription. Pricing, billing cycles, and payment terms will be disclosed at the point of purchase or via order confirmation.

All payments are due in advance, are non-refundable except as required by law, and auto-renew unless canceled prior to the renewal date.

6. Intellectual Property Rights

All software, content, trademarks, logos, and materials provided as part of the Service are owned by Citivus or its licensors and protected under applicable copyright. You retain the rights to your own content and data provided to the Service but grant Citivus a non-exclusive license to use, reproduce, modify, and display it solely as necessary to operate and improve the Service.

Third-Party Logos and Trademarks:

All third-party names, logos, brands, trademarks, and images ("Third-Party Marks") displayed within the Service remain the property of their respective owners. Citivus does not claim any ownership of, nor imply endorsement by, such third parties. Third-Party Marks are presented solely for informational, reference, or interoperability purposes—for example, identifying tracked websites, search providers (such as ChatGPT), or partner services. Unauthorized reproduction or misuse of these marks is strictly prohibited.

7. Data Protection & Privacy

Our collection, use, storage, and disclosure of personal information are governed by our Privacy Policy, which is incorporated by reference. Citivus handles personal data in compliance with British Columbia's Personal Information Protection Act ("PIPA"), the Canadian Personal Information Protection and Electronic Documents Act ("PIPEDA"), and other applicable privacy laws.

8. Security

Citivus employs commercially reasonable, industry-standard technical and organizational safeguards designed to protect your information from unauthorized access, disclosure, alteration, or destruction.

However, you acknowledge that no method of transmission or electronic storage is entirely secure, and Citivus cannot guarantee absolute security. You understand and agree that you use the Service at your own risk.

9. Service Modifications and Availability

Citivus reserves the right to modify, suspend, or discontinue the Service, in whole or in part, at any time, with or without notice.

We make reasonable efforts to ensure the Service is available but do not warrant uninterrupted or error-free operation.

10. Limitation of Liability

To the maximum extent permitted by law, Citivus, its directors, officers, employees, affiliates, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, or for loss of profits, revenues, data, or business opportunities, arising out of or in connection with your use of the Service. Citivus's total liability under these Terms shall not exceed the amount you have paid, if any, for Service access in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless Citivus and its affiliates against any claims, actions, damages, liabilities, and expenses (including reasonable legal fees) arising out of your violation of these Terms, misuse of the Service, or infringement of any rights of others.

12. Termination

Citivus may suspend or terminate your account or access to the Service at any time, for any reason—including breach of these Terms, non-payment, or legal requirements. Upon termination, all licenses and rights granted to you cease, but provisions relating to intellectual property, liability, and privacy survive.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Province of British Columbia and Canada. Any dispute shall be subject to the exclusive jurisdiction of the courts located in British Columbia, Canada.

14. AI-Specific Disclaimer

Citivus does not train its artificial intelligence, machine learning models, or algorithms on any user data, prompts, queries, or content provided through the Service. Your data is used solely to provide and improve the Service for your account and is not utilized for AI model development or training purposes.

Users acknowledge that while Citivus endeavors to provide accurate and reliable results, the Service is powered by artificial intelligence and may produce inaccurate, incomplete, or erroneous output. Citivus makes no warranty regarding the accuracy, completeness, or reliability of any results generated by the Service. Users are solely responsible for independently evaluating and verifying any information or recommendations provided by the Service before relying on them for business or personal decisions.

15. Trial and Beta Services

Citivus may offer the Service or certain features on a trial, beta, or early access basis. Trial access is provided for evaluation purposes only and may be terminated by either party at any time without notice or cause. Citivus reserves the right to modify or discontinue trial offerings at its sole discretion.

Trial users acknowledge that trial access is provided AS-IS without warranty, representation, or support obligation. For trial and beta users, Citivus shall not be liable for any damages, data loss, or service interruption. Total liability of Citivus to trial users shall not exceed $10 USD or the amount paid (if any) for trial access during the preceding three (3) months.

Citivus may collect usage data from trial accounts to improve the Service and may terminate trial access at any time in its sole discretion. Any data associated with trial accounts may be deleted without notice upon termination of trial access.

16. Changes to Terms

Citivus reserves the right to revise these Terms at any time. Updates will be posted on our website or communicated via email. Continued use of the Service after changes constitutes acceptance of the revised Terms.
